These draft Terms of Use would form an agreement between you and Microcis, a California limited liability company (“Microcis,” “Simurgh Labs,” “we,” “us,” or “our”), for the Simurgh Desktop application and support portal (together, the “Service”). They are not effective until approved by counsel, published with an effective date, and accepted through the approved product flow.
1. What Simurgh is
Simurgh Desktop is a human-like AI expert that can understand a display, window, or application you select, speak with you, and guide you to where an action is needed. You remain in control. In Guide Only, Simurgh does not operate the selected application. In acting modes, it may use only its displayed, closed set of desktop actions under the consent, permission, freshness, audit, and immediate-interrupt controls shown to you. The website supports accounts, billing, desktop connection, downloads, support, and AI-human selection; it does not run guidance sessions or perform desktop actions.
2. AI limitations and no professional advice
AI-generated guidance can be inaccurate, incomplete, or out of date. You are responsible for reviewing each step before acting and for the consequences of your actions. The Service is not medical, legal, financial, tax, safety-critical, or other regulated professional advice and does not create a professional, fiduciary, or employment relationship. Use a qualified professional for consequential decisions and local emergency services for emergencies.
3. Eligibility, accounts, and desktop connection
You must be at least 16 years old. If you are below the age of majority where you live, you may use the Service only with a parent or guardian who agrees to the final terms. You must provide accurate account information, keep credentials secure, and promptly report suspected unauthorized access to support@simurghlabs.ai.
Each desktop connection requires an explicit, time-bounded approval. You are responsible for the computers you connect and for revoking access when a device is lost, shared, or no longer trusted.
4. Screen, microphone, and content responsibility
You choose what Simurgh can see and whether it can hear microphone audio. You must have the right to display, transmit, and process the selected content. Do not expose third-party confidential information, personal data, credentials, regulated records, or copyrighted material unless you have permission and the use is lawful. Stop capture or microphone access whenever it is not needed.
5. Plans, billing, and refunds
Each new account receives a one-time seven-day trial with up to one hour of desktop guidance. The trial ends when either limit is reached. Continued guidance requires a paid subscription. Paid subscriptions are billed in advance through Stripe and renew automatically until canceled. Current prices, allowances, and renewal intervals appear on the pricing and billing pages. Cancellation stops future renewals and ordinarily leaves paid access available through the current paid period.
Guidance usage may consume allowance as the service is provided. Refund, statutory-withdrawal, proration, tax, and price-change terms require counsel and billing-provider verification before these draft Terms can become effective. Until then, no public launch may rely on this section.
6. Acceptable use
You may not:
- use the Service unlawfully or to harm, deceive, or infringe others;
- attempt to access accounts, devices, data, or systems without authorization;
- bypass security, usage, billing, capture, or permission controls;
- disrupt, overload, scrape, or automate the Service except as expressly permitted;
- use the Service to facilitate malware, fraud, violence, exploitation, or self-harm;
- share an account to evade limits or misrepresent identity or eligibility; or
- remove notices or misuse the Simurgh name, identity, or assets.
We may suspend or terminate access when reasonably necessary to address a violation, security risk, legal requirement, or material operational harm.
7. Your content, generated output, and our software
You retain rights you hold in content you provide. You would grant Microcis the limited rights necessary to transmit and process that content to provide, secure, and support the Service. You are responsible for having the rights required for your content. Subject to law and the final terms, you may use generated output, but AI output may not be unique and similar output may be generated for others.
The Service, desktop software, portal, AI-human identities, graphics, and brand assets are owned by Microcis or its licensors. The final terms will define a limited personal license and any open-source notices.
8. Third-party services
The Service relies on third parties for functions such as sign-in, billing, cloud delivery, AI reasoning, speech recognition, and voice generation. Their terms may also apply to their services. The approved terms and privacy policy must accurately identify all production categories and required notices before launch.
9. Disclaimers and liability
Proposed warranty disclaimers, limitations of liability, indemnification, governing law, dispute procedures, and jurisdiction-specific consumer rights require counsel approval. No limitation in this draft is intended to waive a right that cannot lawfully be waived.
